What Are The Legal Basis For This Action?


Since an electric car is becoming a new trend in the automobile market as an environment friendly vehicle. Tesla invested on creating electric vehicles. Tesla hires Fisker for design work on its second model. Fisker submits the design and is paid. Fisker starts its own electric company. Tesla sues Fisker for submitting a substandard design and for stealing trade secrets. Is here a legal basis for the action of Tesla? Justify your answer. What are the responsibilities of Fisker toward Tesla?

Would You Want To Help Someone’s Dream Goal Come True?


I have an idea.
For a mutually beneficial method to bring about help to all those stuck in today’s professional world with a dead end situation and bring them up to where they wish to be.
There are four parties:
The mentor
The protege
The sponsor
and the family
It all starts with the protege. For simplicity’s sake I will give an example. Let’s say Joe, the protege, dreams to be a professional carpenter. He has no idea where to begin and his current job as a car dealer is tying him down as a “pay the bills” job.
Now John, the mentor, is a professional carpenter and has a comfortable suburban home in Denver and works from his basement and he makes nearly a six figure income. He loves teaching what he does but there aren’t any family or friends who are interested in carpentry.
Silvia, the sponsor, is a DA in a reputable law firm in New York and loves to give to charity and help others but often times doubts whether the money she puts in actually gets to anyone who needs it.
The Zacarellies, the family, are a family of six, the father recently died of a tumor and he’s left behind five children to be raised by their mother. They get by but the kids will have to work their way through college if they ever wish to obtain a professional career.
The plan:
All four sign up for the program and sign a contract. Joe is sent to visit the family, he is required to only just be a part of the family for one to three months. Once he has done this Silvia wires ten grand to him to start him off for traveling fees and basic requirements while he’s staying at John’s, learning the trade he’s always wanted to learn. Joe learns from John for up to six months to a year on how to be a carpenter. He learns trade secrets, all the skills he needs, and gets in contact with the right vendors. He begins his own business and in no time is making 30 grand a year. According to his contract with our program, everything he makes that exceeds 30 grand must be deposited into an account managed as a college fund. This contract ends when he fulfills saving 25 grand for the kids so they have a decent amount to start school off with.
The Sponsor gets a reputable and substantial charity.
The Mentor gets a protege.
The family’s children get a brighter future.
and the Protege’s life goal is brought into reality.
I want to create this program. I plan on getting insanely rich and working to make this a reality. Why? I know a family who’s husband died of cancer. I have a mentor living in a foreign country who makes over a six figure income by doing internet marketing willing to teach me in person if I were there. I even have some people who are willing to take me in the area where my mentor lives (thanks to Helpx.com). I only lack a sponsor.
And a catchy name for the program.

Will I Be Sued If I Start A Similar Corporation Shortly After Exiting Another?


I exited a business around four months ago due to partner problems and would like to now start my own operation in a similar field. We just finalized a buyout agreement and signed papers releasing me as a Director from the corp. The previous company was in a field that involved a software database be created to analyze corporate billing for their telecom accounts – both wire line and mobile (can’t be too specific).
The corp I’m looking to start would offer a similar service, however would be different in a variety of ways and would also be built without directly copying anything that I have intellectually from my previous role. The new corp would have some similarities as far as the solution, however would be built from the ground up.
We have a unanimous shareholder agreement in place for the corp I had been previously part of (I was an equal shareholder – all minority shares @ 25%). My concern is that the USA has a clause in relation to confidentiality and states that no officer shall divulge any information regarding the business, or its finances, affairs, dealing and any trade secrets of the company including trade secrets, designs, methods, etc. I had them remove the non compete clause, as it would ban me from the industry for 10 years. The only non compete currently in place is in regards to going after existing clients of the corporation for a period of 3 years, which I wouldn’t do.
If I start his new corp, what is the likely hood I’ll be sued once they find out? If I were to be sued, they would obviously sue for damages, but would it be an amount that could potentially shut be down? If I want to be sneaky, could I find a partner and register everything in their name and act as employee for the time being?
Seeing as several big corps sue each other all of the time over IP, patents, etc I don’t see this being any different. I would however go in to the new corp without the intention of directly copying their solution. They also don’t have any patents or really proprietary technology, as several other companies offer a similar product/service and ours was created based on a couple of them in market ironically enough, so I don’t see them being able to prove that their solution was that unique and not based off others in market.
Advice from savvy biz professionals, or lawyers would be ideal. I want some advice before investing personal capital. I will likely sit down with a lawyer here, but want to know whether or not this is a waste of my time. I was bullied out of the other co and know that’s its a profitable market that I want to be a part of, just without idiots.

What Is This Clause Saying Exactly?


I just got offered a position and this legal clause sounds like anything I make, for the company or on my own becomes the companies property. Is this true?
You agree that you will promptly make full written disclosure to the Company, will hold in trust for the sole right and benefit of the Company, and hereby assign to the Company, or its designee, all right, title, and interest in and to any and all inventions, original works of authorship, developments, concepts, improvements, designs, discoveries, ideas, trademarks or trade secrets, whether or not patentable or registrable under copyright or similar laws, which are solely or jointly conceive or develop or reduce to practice, or cause to be conceived or developed or reduced to practice, during the period of time you are an employee of the Company (collectively referred to as “Inventions”). You further acknowledge that all original works of authorship which are made by you (solely or jointly with others) within the scope of and during the period of your employment with the Company and which are protectable by copyright are “works made for hire,” as that term is defined in the United States Copyright Act. Would Government Employees Misuse Surveillance And Inside Info For Personal Gain?


Would government surveillance threaten company trade secrets and recipes. I say this because many have tried to copy, infiltrate, tresspass, buy and franchise our business. What would happen if a conflict of interest between the govt and a company. Would govt surveillance lead to many govt or associate owned businesses. Would many govt employees misuse info for personal gain. How would surveillance influence the free market. Will govt corruption increase with more surveillance.
